Corporate and Commercial Transactions


The firm is well placed to advise on all aspects of corporate and commercial transactions with Charl having gained extensive experience in this field over the past 15 years, which is complemented by having completed a post-graduate certificate in Advanced Company Law in 2011 through the University of the Witwatersrand with a strong emphasis on the new Companies Act, 2008.

Such services include:

  • Fundamental Transactions and Take-Overs comprising the disposal of all or a greater part of a company's assets or undertaking, amalgamations or mergers and scheme of arrangements as prescribed by Sections 112 to 127 of the Companies Act, 2008.

  • Corporate Finance and Securities as set out in Sections 35 to 56 of the Companies Act, 2008 and includes the drafting of commercial agreements pertaining to:

    • sale and purchase of shares

    • sale and purchase of businesses

    • shareholders' agreement

    • management buy-outs

    • joint ventures

  • General commercial work comprising sale and lease-backs, leases, amendments of a company's memorandum of incorporation and drafting of commercial agreements of a general nature.

  • Conversion of the “old” Memorandum and Articles of Association (1973 Companies Act) to the new Memorandum of Incorporation (2008 Companies Act)

Insurance Litigation and Recoveries


The firm provides an insurance litigation service, with Charl having managed an insurance law and recoveries practice whilst completing his articles at Deneys Reitz Attorneys (now Norton Rose Fullbright) and thereafter.


This service is now complemented by Danelle Kamffer, head of litigation at the firm.



Corporate and Commercial Litigation


The firm provides a full range of commercial litigation in the Magistrates' Courts, High Courts and the Supreme Court of Appeal.


Charl is able to assist with high-level negotiations and alternative dispute resolutions processes such as arbitration, collaborative solutions and mediation to resolve conflict and potential conflict between business entities and individuals.


In 2008, Charl successfully represented a client at the London Court of International Arbitration ("LCIA") in Fleet Street, London, during a three week arbitration hearing pertaining to a contractual dispute concerning the sale of shares in a mining company for £4,5 million.



Business Rescue


Charl completed an Advanced Short Course in Business Rescue Practice in 2014. He gained practical experience in turn-arounds from 2002 to 2006 while involved in the rescue of MGX Holdings Limited, now Metrofile Holdings Limited, under the mandate of FRM Strategies with Peter Flack and the chairmanship of Christopher Seabrooke.

Real Estate Development, Property Law and Conveyancing


The firm provides a full range of real estate services and property development, including conveyancing.

Since 2008, Charl has been a trustee, attorney and conveyancer of Lords View Industrial Park, comprising eight industrial and logistics townships, advising on all aspects from proclamation to transfers.

The real estate services include:

  • proclamation of townships, including the drafting of conditions of establishment in compliance with Chief Registrar's circulars to expedite proclamations

  • subdivisions and consolidations of land, including section 82 and Regulation 38 approvals

  • share-blocks schemes

  • sectional title registers

  • property transfers

  • hypothecating assets by registration of mortgage and notarial bonds

  • tax exemption transfers from trusts, close corporations and companies

  • notarial deeds (leases, servitudes, habitio)

  • homeowners' associations and incorporations

  • deceased estate transfers



Estate Planning, Wills, Trusts and ANC's


Charl acts as trustee for client's trusts and in particular the Lords Trust, the developer of the Lords View Industrial Township.

As a notary public he drafts wills, trust deeds and ANC's as part of the estate planning process.
